Terms and Conditions:
The following Fantastic Sams Gift Card Terms and Conditions (this “Agreement”) describe the terms and conditions that apply to the Fantastic Sams gift cards (“Card(s)”) in the United States. This Agreement is between you (“you”) and the issuer of the Card (the “Issuer”). The Issuer is Fantastic Sams Gift Cards, Inc. (“FSGCI”). By purchasing, accepting, or using your Card, you agree to be bound by this Agreement. If you do not agree with this Agreement, do not purchase, use, or accept the Card.
IMPORTANT: This Agreement includes resolution of disputes by arbitration instead of in court and a class action waiver.
1. About Your Card.
The Card is issued by Issuer. Issuer is the sole legal obligor to you. Fantastic Sams Franchise Corporation (“FSFC”) and its other affiliates and related entities are not parties to this Agreement and bear no responsibility or liability for any Card, and you hereby knowingly release FSFC and its affiliates (other than FSGCI) and related entities from any and all liability or claims of any nature whatsoever arising in connection with the Card.
Cards can be purchased at participating Fantastic Sams salons in the United States. Cards are only valid if purchased from a participating Fantastic Sams salon. Cards are not valid if they are purchased from unauthorized sellers or resellers, including through Internet auction sites. Cards are not debit or credit cards. The value on your Card is not insured by the Federal Deposit Insurance Corporation (FDIC), nor does it earn interest.
2. Balance Inquiry.
For balance inquiries, please visit https://www.fantasticsams.com/gift-card or any participating Fantastic Sams salon in the United States. The balance you receive when inquiring online is an estimate only. In most cases, the balance is adjusted 24 hours after you make a purchase, but there may be occasions when the balance adjustment is delayed.
3. Expiration/Deactivation.
The Issuer does not charge any activation, service, dormancy, or inactivity fees in connection with your Card. Your Card has no expiration date, and the value on your Card never expires.
4. Redemption.
Cards are redeemable only for retail products and salon services at participating Fantastic Sams salons in the United States. Cards may be used to tip at the discretion of the applicable participating Fantastic Sams salon. Cards have no cash value and may not be redeemed for cash except as required by law. Cards are not redeemable to purchase subsequent Cards or towards previously purchased goods or services.
5. Reloadable.
Cards may be reloaded with value at any participating Fantastic Sams salon. There may be a delay from the time you pay the amount to be loaded onto your Card and when those funds are available for use.
6. Promotional Programs.
From time to time, Issuer may, in its sole discretion, run promotional programs associated with Cards (“Promotions”). Such Promotions are subject to these terms, as well as additional terms as indicated in connection with the Promotions. Issuer reserves the right to modify the terms and conditions of any Promotion at any time, including terminating the Promotion.
7. No Refunds.
Cards are not refundable or redeemable for cash unless required by law. You may not return or cancel a Card after it is received.
8. Lost, Damaged, or Stolen Cards.
The value of any lost, damaged, or stolen Card, or any Card altered or used without authorization, will not be replaced or replenished. Issuer is not responsible if any Card is stolen or destroyed or if your Card is used without your permission. If you suspect someone has copied or stolen your Card, call (888) 263-4432 immediately.
9. Limitations.
Cards cannot be resold or transferred for value. Cards are void if resold or transferred for value.
10. Mandatory Binding Individual Arbitration.
All controversies, disputes, or claims arising out of or related to this Agreement (including the validity and scope of the arbitration obligation under this Section), your Card, or your relationship with Issuer, affiliates, and Issuer and its affiliates’ respective owners, officers, directors, agents, representatives and employees must be submitted for binding arbitration, on demand of either party, to the American Arbitration Association (“AAA”). The arbitration proceedings will be conducted by one arbitrator and, except as this Section otherwise provides, according to the AAA’s then-current Commercial Arbitration Rules. All proceedings will be conducted at a suitable location chosen by the arbitrator that is within 50 miles of Issuer or, as applicable, Issuer’s successor’s or assign’s then-current principal place of business (currently, [Maple Grove, Minnesota]). All matters relating to arbitration will be governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.). The interim and final awards of the arbitrator shall be final and binding upon each party, and judgment upon the arbitrator’s awards may be entered in any court of competent jurisdiction.
The arbitrator may not award any punitive or exemplary damages against any party to the arbitration proceeding. You and Issuer hereby waive, to the fullest extent permitted by law, any such right to or claim for any punitive or exemplary damages against any party to the arbitration proceedings. In any arbitration brought pursuant to this arbitration provision, and in any action in which a party seeks to enforce compliance with this arbitration provision, the prevailing party shall be awarded its costs and expenses, including attorneys’ fees, incurred in connection therewith.
In any arbitration proceeding, each party must submit or file any claim which would constitute a compulsory counterclaim (as defined by Rule 13 of the Federal Rules of Civil Procedure) within the same proceeding. Any claim which is not submitted or filed as required will be forever barred. The arbitrator may not consider any settlement discussions or offers that might have been made by either you or Issuer.
The arbitration will be conducted on an individual basis and may not be: (i) conducted on a class-wide basis; (ii) commenced, conducted or consolidated with any other arbitration proceeding; (iii) joined with any separate claim of an unaffiliated third-party; or (iv) brought on your behalf by any association or agent. YOU AND ISSUER IRREVOCABLY WAIVE TRIAL BY JURY IN ANY ACTION OR PROCEEDING BROUGHT PURSUANT TO THIS AGREEMENT.
The provisions of this Section are intended to benefit and bind certain third-party non-signatories and will continue in full force and effect subsequent to and notwithstanding the expiration or termination of the Agreements.
11. Limitation of Liability.
TO THE EXTENT PERMITTED BY APPLICABLE LAWS, ISSUER AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO CARDS, INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, OR ANY WARRANTY ARISING BY USAGE OF TRADE, COURSE OF DEALING, OR COURSE OF PERFORMANCE. IN THE EVENT THAT A CARD IS NON-FUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE THE REPLACEMENT OF SUCH CARD. ISSUER DOES NOT REPRESENT THAT YOUR CARD WILL ALWAYS BE ACCESSIBLE OR ACCEPTED.
IF ISSUER OR ITS AFFILIATES ARE FOUND LIABLE TO YOU, THEN, TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU SHALL ONLY BE ENTITLED TO RECOVER ACTUAL AND DIRECT DAMAGES, AND SUCH DAMAGES SHALL NOT EXCEED THE LAST BALANCE HELD ON YOUR CARD. TO THE EXTENT PERMITTED BY APPLICABLE LAWS, ISSUER AND ITS AFFILIATES SHALL HAVE NO LIABILITY FOR ANY INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOSS OF PROFIT, REVENUE OR USE), OR ANY PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THIS AGREEMENT, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, EVEN IF ISSUER OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ISSUER OR ITS AFFILIATES HAVE ANY LIABILITY FOR UNAUTHORIZED ACCESS TO, OR ALTERATION, THEFT OR DESTRUCTION OF A CARD THROUGH ACCIDENT, MISUSE OR FRAUDULENT MEANS OR DEVICES.
TO THE EXTENT PERMITTED BY APPLICABLE LAWS, NO CAUSE OF ACTION ARISING OUT OF OR UNDER THIS AGREEMENT MAY BE MAINTAINED AGAINST ISSUER UNLESS BROUGHT BEFORE THE EXPIRATION OF ONE (1) YEAR AFTER THE ACT GIVING RISE TO SUCH CAUSE OF ACTION OCCURRED.
12. Governing Law.
The laws of the State of Utah, without regard to principles of conflict of laws, shall govern this Agreement and use of your Card. All terms and conditions are applicable to the extent permitted by law. If any of these terms and conditions are deemed invalid, void, or for any reason unenforceable, that unenforceable term will be deemed severable and will not affect the validity and enforceability of any remaining terms or conditions.
13. Assignment and Changes to this Agreement.
Issuer may assign all or part of this Agreement without notice to you. Issuer shall then be released from all liability. You may not assign this Agreement without Issuer’s prior written consent, and any attempted assignment will be void.
Issuer reserves the right to change this Agreement from time to time in its sole discretion, and such changes may be provided to you by any reasonable means, including, without limitation, by posting the revised version of this Agreement at https://www.fantasticsams.com/gift-card.
14. Fraud.
Issuer reserves the right to refuse to honor a Card and/or cancel your Card and retain Card balance without notice to you, if Issuer, in its sole discretion, reasonably suspects that the Card was obtained or used fraudulently, unlawfully, or otherwise in violation of this Agreement.
15. Miscellaneous.
This Agreement constitutes the entire agreement between you and Issuer, and supersedes and merges all prior proposals and all other agreements governing your Card. This Agreement is binding upon you and your executors, administrators, heirs, beneficiaries, permitted assigns, and successors in interest. All provisions that by their nature or otherwise are intended to survive the termination or expiration of this Agreement will so survive, including, without limitation: (a) Mandatory Binding Individual Arbitration; (b) Limitation of Liability; and (c) Governing Law.
